Question 2

Terms and conditions of use

Accepted Answer

conflicool provides, on the conflicool.org website (the "Site"), the following service (the "Service"): the provision of a software allowing two parties in conflict to enter into a relationship with an approved mediator by answering a questionnaire.

The opening of an Account (as defined below) and/or the use of all or part of the Service constitutes your full and complete acceptance of these Terms of Use.

You are subject to the Terms and Conditions in effect at the time you use the Service, unless a change to these Terms and Conditions is required by an administrative or governmental authority (in which case, such change may apply to your prior use of the Service).

CONFLICOOL IS NOT A CERTIFIED MEDIATOR AND DOES NOT PROVIDE LEGAL OR MEDIATION ADVICE. FURTHERMORE, THE REFERRAL SERVICE TO AN ACCREDITED MEDIATOR IS ONLY A REFERRAL SERVICE FOR MEDIATORS. The contractual relationship will be completely autonomous, i.e. established directly between the accredited mediator and the parties, without any intervention from the Site. conflicool cannot guarantee the intervention of an accredited mediator following a Mise en Relation, the latter being totally free of his choice and likely not to assist you (especially in case of conflict of interest discovered thereafter).

Article 1. Account and File

1.1 Account Creation
Your use of the Site and all or part of the Service is conditional upon the creation of an account with conflicool (the "Account"), which implies acceptance of these Terms of Use.

The creation of an Account is free of charge and open to any natural person (at least 18 years of age and enjoying full legal capacity) or legally constituted legal entity acting through a duly authorised representative.

To create an Account, you must enter your email address. Any secure access to conflicool will be done through the secure link that will be sent to this e-mail address. You are responsible for the accuracy and updating of the information you provide. For the purposes of providing the Service, you must immediately inform conflicool of any change in this information and confirm within fifteen days to conflicool the accuracy of the information if conflicool requests it.

You are responsible for maintaining the confidentiality of your Account, for restricting access to your computer and for all activities that occur under your Account. If you discover or have reason to believe that your Account is being used or is likely to be used in an unauthorized manner, you must notify conflicool immediately by sending an email to the following address: contact@conflicool.org

conflicool reserves the right to send you personalised e-mails to the e-mail address you provide to notify you of the progress of the search for an accredited mediator (the "File").

1.2 Closing the Account at your initiative 1.3 Closing the Account at your initiative 1.4 Closing the Account at your initiative 1.5 Closing the Account at your initiative 1.6 Closing the Account at your initiative 1.7 Closing the Account at your initiative 1.8 Closing the Account at your initiative 1.9 Closing the Account at your initiative

1.3 Closing or suspending the Account at the initiative of conflicool
In case of non-compliance with these Terms of Use, conflicool will have the right to suspend or close your Account (or limit your ability to use all or part of the Site and Services), at any time, by right and without legal formality, after sending by e-mail (or by post) a formal notice which has remained without effect for a period of five (5) calendar days from its receipt.

In case of fraud or attempted fraud, conflicool may suspend or close your Account, at any time, as of right and without any formality, including if conflicool has reasonable grounds to believe that :

- you behave inappropriately or improperly on the Site or in connection with the use of the Service

1.4 Archiving of File Data 1.4.1
All data transmitted by you will be archived via the online service Firebase Google Cloud Platform ("Firebase") and/or Amazon AWS servers in compliance with the EU-US Privacy Shield. Article 2. Delivery and content of the Service

2.1 Content and delivery of the Chartered Mediator Search Service 2.1.1 Content and delivery of the Chartered Mediator Search Service 2.1.1.1 Content and delivery of the Chartered Mediator Search Service 2.1.2 Content and delivery of the Chartered Mediator Search Service 2.1.1.2 Content and delivery of the Chartered Mediator Search Service 2.1.3 Content and delivery of the Chartered Mediator Search Service 2.1.3 Content and delivery of the Chartered Mediator Search Service 2.1.1.1 Content and delivery of the Chartered Mediator Search Service 2.1.1.1 Content and delivery of the Chartered Mediator Search Service 2.1.1 Content and delivery of the Chartered Mediator Search Service 2.1.1 Content and delivery of the Chartered Mediator Search Service

The Service allows two parties in conflict to enter into a relationship with an accredited mediator by answering a questionnaire. The contact is made in an impartial manner on the basis of the nature of the dispute and a calculation of minimisation of distance between the postcode of the accredited mediators and the postcodes provided by both parties. If several mediators meet this criterion, the choice of mediator will be made randomly. conflicool requires that both parties have completed their questionnaire. By sharing the email address of the other party, the initiator of the search for an accredited mediator also authorizes conflicool to contact the other party on the latter's behalf.

The conflicool will not be held responsible for the failure of any party to complete the questionnaire. Nor shall conflicool be liable if no accredited mediator meets the criteria set out above. The parties are free to stop the process on conflicool at any time and do not commit themselves to anything by starting a search for a mediator on the Site.

As explained during the completion of the questionnaires, the parties agree that conflicool may share their names and postal codes with the certified mediators so that the mediators can determine whether they know the parties or whether there is a conflict of interest. Once a mediator has certified that he or she has no conflict of interest, the parties also agree that conflicool shall communicate their responses to the questionnaire to the accredited mediator who has taken over the case.

The parties will be kept continuously informed of the progress of the search for a mediator on the e-mail address provided at the time of account creation. The final communication will contain the contact details of the accredited mediator with whom the parties are put in contact on the basis of their questionnaire, who will have previously certified that he or she has no conflict of interest with the parties.

conflicool regularly updates its database of accredited mediators in order to be synchronised with the information on the Federal Mediation Commission's website, but cannot be required to keep this list up to date in real time. The accredited mediator shall therefore be required to confirm his status as an accredited mediator with the parties.

conflicool will not be held responsible for delays or your inability to comply with your obligations under these Terms of Use if the delay or inability results from a cause beyond its reasonable control. This condition does not affect your right to have the Service provided within a reasonable time.

By accepting the terms and conditions of use, the parties in conflict allow conflicool to share the answers to their questionnaire with an accredited mediator.

By accepting the general terms and conditions of use, an accredited mediator accepts that his contact details may be communicated to the parties of the File that he takes charge of. By taking charge of a File, the accredited mediator certifies that he has no conflict of interest with the parties in conflict to the best of his knowledge.

Question 3

General conditions of use for accredited mediators

Accepted Answer

conflicool ("conflicool") provides on the conflicool.org website (the "Site"), a contact service between Users and Accredited Mediators.

The purpose of these general terms of use is to specify the conditions of the participation of the Registered Mediators to the Site (hereafter the "CGU-Mediators"). conflicool reserves the right to modify the CGU-Mediators according to the evolution of the Site and its activities.

1. Definitions
Accredited mediator means any accredited mediator meeting the requirements of the Federal Mediation Commission and appearing on its public database.

User means any person who uses the Site or one of the services offered on the Site.

2. Terms and conditions of listing

2.1 Prerequisites for listing
The Site is open to all Accredited Mediators, without distinction or restriction according to their fields of activity or specialities as recognised by the Federal Mediation Commission. Any Accredited Mediator listed on the website of the Federal Mediation Commission may therefore be listed on the Site. The conflicool regularly updates its database of Accredited Mediators in order to be synchronised with the information on the website of the Federal Mediation Commission, but cannot be required to keep this list up to date in real time. The accredited mediator shall therefore be required to confirm his status as an accredited mediator with the parties.

2.2 Withdrawal of the referencing by conflicool
If a Chartered Mediator should breach the TOS or the TOS for Chartered Mediators, conflicool reserves the right to withdraw its referencing from the Site.

2.2 Request by the accredited mediator for withdrawal of the listing
Any Accredited Mediator meeting the conditions of article 1.1 (Preconditions) may request to be removed from the Site by contacting us at contact@conflicool.org, or by unsubscribing ("Unsubscribe") from emails coming from conflicool as we will no longer be able to contact them via our email service.

3. Terms of the Relationship
The services offered by conflicool are exclusively limited to the connection of the Users with Approved Mediators. The services of the Registered Mediators will be provided entirely outside the Site.

If a Chartered Mediator is assigned to a case on the basis of his field of competence and his location, the Chartered Mediator will receive an e-mail informing him of this. This e-mail will contain a link enabling him to create a Conflicool Account and to access the names and postal codes of the parties in order to determine whether a conflict of interest exists. The Chartered Mediator may either recuse himself or herself or take over the case, certifying that he or she has no conflict of interest. The Chartered Mediator will then receive both parties' replies to the questionnaire as well as their e-mail addresses. The Approved Mediator is required to comply with the regulations relating to the storage and sharing of Users' personal data. In all cases, whether the Approved Mediator accepts the case, or recuses himself from it, once the Approved Mediator has become aware of the parties, he is strictly prohibited from offering his services (or accepting that they be rendered) to one of the parties in another role such as, for example, lawyer or expert

Following a contact between an Approved Mediator and the Users, the Approved Mediator may, if necessary and according to the terms agreed directly between the Approved Mediator and the Users, provide mediation services.

The User:

- has free access to the platform and may, at any time, request to be put in touch with a Registered Mediator free of charge by answering a questionnaire; and
- is entirely free to accept or refuse the Chartered Mediator.

The Accredited Mediator develops an autonomous relationship with Users. In this respect, for each contact, the Approved Mediator:
- verifies the identity of the Users;
- prior to any intervention, confirms to the Users his name and contact details, and communicates his conditions of intervention;
- remains totally free in the choice of his clients and the setting of his fees, without any intervention from the Site;
- ensures, in all circumstances, that professional secrecy is respected and that there is no conflict of interest; and
- may, at any time, contact any User directly and personally, in particular to obtain useful information for the provision of a service.

The contractual relationship between the Approved Mediator and the parties is therefore established directly by the Approved Mediator and in no way binds the Site.

4. Responsibility of conflicool
Within the framework of the matchmaking services available on the Site, conflicool:

- does not verify the truthfulness, completeness and relevance of the information provided by Users or Accredited Mediators;
- does not intervene in any way and does not exercise any control whatsoever over the decision of the Accredited Mediators to intervene or not to intervene and the estimates of fees of the Accredited Mediators;
- does not intervene in any way in the contractual relationship that may be established between Users and the Chartered Mediator following a contact, and cannot be held liable in this respect; and
- assumes no liability in the event of (1) misuse of the services offered on the Site by the Customer or the Approved Mediator, (2) dissatisfaction of the User with the service provided by an Approved Mediator;

As regards access to the Site by Approved Mediators, conflicool:

- will endeavour to limit the frequency and duration of suspensions and limitations of access, which may nevertheless occur from time to time to allow for repairs, maintenance, or the addition of new functionality or service; and
- cannot be held responsible for an interruption of the Site due to an external hazard or a case of force majeure or for any difficulty of access linked to a misuse of the Site by the Approved Mediator or the User.

5. Pricing conditions
During the launching period of conflicool, the referencing on the Website is free for the Chartered Mediators. conflicool reserves the right to review this pricing policy and to inform the Chartered Mediators within a reasonable time.

6. Claims
Any complaint should be addressed to conflicool, at the following e-mail address: contact@conflicool.org.

You can also send your complaint to the European Commission's Online Dispute Resolution service: [https://ec.europa.eu/consumers/odr/](https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=FR)

7. Applicable law and attribution of jurisdiction
These TOU-Mediator are subject to Belgian law.

In the event of a dispute arising in connection with the performance, termination or conditions of this contract, the parties shall endeavour to settle their dispute amicably.

If no amicable solution is found and in the event that the User acts in a professional capacity, the dispute will be brought exclusively before the courts of Brussels.
